Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, products, and services provided by AthenaLab ("AthenaLab", "we", "us", or "our"), including Numina Vault, Workshop Hub, AthenaFlow, and AI Agents (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

You must be at least 18 years old and capable of entering into a binding contract to use the Services. You agree to provide accurate, current, and complete information when creating an account, and to keep your credentials confidential. You are responsible for all activity that occurs under your account.

• Plans. Paid plans are billed on a monthly or annual basis as selected at checkout. Prices are stated in Malaysian Ringgit (RM) unless otherwise indicated and are exclusive of applicable taxes.
• Free trials. Where offered, free trials give you full access for the stated period. A valid payment method may be required to begin a trial. You will not be charged during the trial and may cancel at any time before it ends.
• Auto-renewal. Subscriptions automatically renew at the end of each billing cycle unless cancelled before renewal. You authorize us to charge your payment method on each renewal.
• One-time fees. One-time fees (such as onboarding packages) are non-refundable once delivery has begun.
• Refunds. Except where required by law, fees already paid are non-refundable. We may, at our discretion, issue refunds or credits on a case-by-case basis.
• Late payments. If a payment fails, we may suspend or terminate your access to the Services until amounts owed are paid.

You agree not to:

• Use the Services for any unlawful, fraudulent, deceptive, or harmful purpose;
• Upload or process content that infringes intellectual property rights, violates privacy, contains malware, or is otherwise prohibited by law;
• Reverse engineer, decompile, or attempt to extract source code from the Services;
• Resell, sublicense, or commercially exploit the Services without our written consent;
• Interfere with or disrupt the security, performance, or integrity of the Services;
• Use automated means to access the Services in a manner that imposes an unreasonable load.

"Your Content" means receipts, documents, customer records, vehicle data, job cards, messages, and any other materials you upload, submit, or generate through the Services.

You retain all rights to Your Content. You grant AthenaLab a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, process, and analyze Your Content solely as needed to provide and improve the Services on your behalf.

You are responsible for the accuracy, legality, and appropriateness of Your Content and for obtaining all necessary rights and consents to upload it.

The Services use artificial intelligence and machine learning to provide features such as OCR, categorization, summarization, and automated workflows. AI outputs may contain inaccuracies. You are responsible for reviewing AI-generated content before relying on it for financial, legal, accounting, or operational decisions. AthenaLab does not provide accounting, tax, or legal advice.

We do not use your business data to train public or general-purpose AI models. Any model improvements derived from your data are limited to your tenant unless you opt in to broader improvements.

The Services integrate with third-party platforms such as Google Workspace, messaging providers, and payment processors. Your use of those integrations is governed by their respective terms and privacy policies. AthenaLab is not responsible for the availability, performance, or content of third-party services.

The Services, including all software, designs, text, graphics, and trademarks, are owned by AthenaLab or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes in accordance with these Terms.

Each party agrees to protect the other party's confidential information using at least the same degree of care it uses for its own confidential information, and not to use or disclose it except as necessary to perform under these Terms or as required by law.

We strive to make the Services available 24/7 but do not guarantee uninterrupted access. Scheduled maintenance, upgrades, or events beyond our reasonable control may temporarily affect availability. We will use reasonable efforts to notify you of any planned downtime.

You may cancel your subscription at any time from your account settings or by contacting us. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Services in a way that creates legal or security risks. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive (e.g., intellectual property, disclaimers, limitations of liability) will survive termination.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ATHENALAB DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT AI OUTPUTS WILL BE ACCURATE OR RELIABLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATHENALAB AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS IS LIMITED TO THE AMOUNT YOU PAID TO ATHENALAB FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold AthenaLab harmless from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, Your Content, or your violation of these Terms or applicable law.

These Terms are governed by the laws of Malaysia, without regard to its conflict-of-law rules. Any dispute arising out of or related to these Terms or the Services will be resolved exclusively in the courts located in Malaysia, unless required otherwise by applicable law.

We may update these Terms from time to time. If we make material changes, we will notify you by email or via an in-product notice. Continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.
